1. Parties and Acceptance of Terms
These Terms & Conditions (“Agreement”, “Terms”, “Terms of Service”) govern the use of the IPSPANEL software platform, whether accessed as a hosted cloud service (“IPSPANEL Cloud”, “SaaS”) or installed on your own infrastructure under a perpetual or annual license (“IPSPANEL Self-Hosted”). By creating an account, installing, accessing, or using IPSPANEL in any form, you (“Client”, “Licensee”, “You”) acknowledge that you have read, understood, and agreed to be legally bound by this Agreement.
If you do not agree to all sections of this Agreement, you must not access, install, or use IPSPANEL or any associated modules, APIs, or updates.
2. Service Models Covered by This Agreement
This Agreement applies to the following licensing and access models:
Cloud Subscription (SaaS): Access to IPSPANEL hosted on IPSPANEL infrastructure, billed on a recurring subscription basis.
One-Time Self-Hosted License: Perpetual use license granted for deployment on Client-owned infrastructure, subject to license activation and support period limitations.
Hybrid Subscription + Self-Hosted Support Model: License with ongoing support or update subscription, combining one-time purchase with recurring support fees.
By purchasing, downloading, installing, or subscribing to any IPSPANEL service or license, You agree that this unified Agreement governs all modes of operation.
3. License Grant
3.1 IPSPANEL grants You a limited, non-exclusive, non-transferable, non-sublicensable right to access or install IPSPANEL solely for Your own business operations related to hosting management, domain billing, infrastructure administration, or related service delivery.
3.2 In Self-Hosted mode, You may install IPSPANEL on hardware or virtual infrastructure under Your control for internal, commercial, or reseller operations, but You may not repackage, resell, or relicense IPSPANEL itself.
3.3 In Cloud mode, no software is transferred or sold; You are granted access through a subscription-based online platform.
3.4 All rights not expressly granted are reserved by IPSPANEL.
4. License Restrictions
You agree that You shall not:
Reverse engineer, decompile, or attempt to extract source code.
Circumvent license checks, subscription verification, or activation systems.
Share, rent, lease, or redistribute the software outside of agreed usage.
Allow third parties to access Your license outside of Your own infrastructure or contracted reseller service delivery.
Remove, obscure, or alter any ownership notices, logs, or audit functions.
Use IPSPANEL to operate illegal services, distribute malware, abuse network resources, or violate applicable laws.
Violation of this section entitles IPSPANEL to terminate the license immediately without refund or compensation.
5. Intellectual Property Ownership
IPSPANEL, its code base, modules, branding, documentation, update mechanism, UX, and database structures are the exclusive property of IPSPANEL and its licensors. This Agreement does not transfer any intellectual property rights except the limited usage rights granted above. Any unauthorized duplication, code extraction, or redistribution constitutes a breach of this Agreement and may trigger legal enforcement.
6. Payment Terms
6.1 Subscription Fees (SaaS): Fees are billed in advance on a recurring basis according to the selected billing cycle. You authorize IPSPANEL or its designated payment processor to automatically collect charges.
6.2 One-Time License Fees (Self-Hosted): Payable at the time of purchase or as defined in the invoice. Updates and support beyond the initial period may require a recurring maintenance contract.
6.3 No Refund Policy: All payments are final and non-refundable under any circumstances. In rare cases where service cannot be delivered due to technical impossibility attributable solely to IPSPANEL, a service credit may be issued. Credits cannot be converted to cash.
6.4 Price Changes: IPSPANEL may change pricing for future billing periods. For active subscriptions, notice will be provided before renewal.
7. Automatic Renewal and Suspension
For subscription services, recurring billing continues until canceled. Failure to pay may result in suspension or termination of access and data lockdown. IPSPANEL reserves the right to suspend service for misuse, security risk, or violation of this Agreement without refund.
8. Access Management and Account Security
You are responsible for safeguarding credentials, access tokens, and administrative accounts. Any actions performed through Your account are deemed authorized by You. IPSPANEL is not liable for damages caused by compromised credentials, weak password practices, or unauthorized access within Your infrastructure in Self-Hosted deployments.
9. Self-Hosted Responsibility Disclaimer
In Self-Hosted installations:
You bear full technical and legal responsibility for server security, firewall configuration, SSL/TLS enforcement, database protection, backups, API key management, and compliance with GDPR, CCPA, or other laws.
IPSPANEL does not monitor or access Your infrastructure by default.
Support is limited to general instructions unless You explicitly authorize secure remote access.
10. Fair Use and Abuse Policy
You agree not to use IPSPANEL for abusive traffic generation, unauthorized access attempts, rapid automated API calls beyond intended use, or any activity that may harm IPSPANEL, its infrastructure, or third-party systems. IPSPANEL reserves the right to throttle, suspend, or terminate access for abuse without prior notice.
11. Software Updates and Modifications
For Cloud SaaS subscribers, IPSPANEL may deploy updates automatically. For Self-Hosted license holders, You are responsible for manually applying updates if You choose to do so. Updates may alter functionality or interface; IPSPANEL is not obligated to maintain backward compatibility. Custom modifications made by You may not be supported.
12. Support and Service Level
Unless a separate written SLA is signed, support is provided on a reasonable-effort basis via email or ticket. IPSPANEL does not guarantee immediate response, uptime, or resolution time unless explicitly agreed in writing. Self-Hosted installations outside of an active maintenance plan are supported only for license verification, not for deployment troubleshooting.
13. Data Handling and Privacy
Data processing in IPSPANEL Cloud is governed by the IPSPANEL Privacy Policy and GDPR obligations. In Self-Hosted installations, You are entirely responsible for data processing compliance, data subject response, breach reporting, and audit logs. IPSPANEL does not act as Data Processor unless explicitly agreed under a separate Data Processing Agreement (DPA).
14. Warranties Disclaimer
IPSPANEL IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY OF ANY KIND. IPSPANEL DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, AVAILABILITY, ACCURACY, AND NON-INFRINGEMENT. YOU ASSUME FULL RISK FOR DEPLOYMENT, CONFIGURATION, AND OPERATION.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IPSPANEL’S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE OR LICENSE IN THE PRECEDING 30 DAYS. IPSPANEL IS NOT LIABLE FOR LOSS OF REVENUE, DATA, BUSINESS INTERRUPTION, OR INDIRECT DAMAGES OF ANY KIND.
16. Indemnification
You agree to indemnify and hold IPSPANEL harmless against any claims, damages, losses, or legal actions arising from Your usage of IPSPANEL, including claims from Your own customers, data subjects, regulatory authorities, or third parties.
17. Termination
IPSPANEL may suspend or terminate access or licenses immediately for:
Violation of these Terms
Non-payment
Security risks or illegal activity
Abuse or fraud detection
Upon termination, all usage rights cease. Self-Hosted installations must be deactivated and removed upon license termination for breach.
18. Intellectual Property Violations
Unauthorized code extraction, bypassing license enforcement, or selling modified IPSPANEL builds will result in permanent license revocation and potential legal action.
19. Export Compliance and Sanctions
You confirm that You are not under export sanctions and that IPSPANEL will not be used in jurisdictions restricted by applicable trade control laws. You assume full responsibility for ensuring local legal compliance.
20. Force Majeure
IPSPANEL shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, cyber-attacks, power outages, or network failure.
21. Amendments to Terms
IPSPANEL may modify these Terms at any time. The latest version will always be published on the official IPSPANEL legal page. Continued use after changes constitutes acceptance.
22. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of the European Union, with GDPR as the primary regulatory framework. Any disputes shall be subject to the jurisdiction of competent courts unless a separate written arbitration clause is executed.

BY USING, INSTALLING, OR ACCESSING IPSPANEL, YOU CONFIRM THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND AGREE TO BE LEGALLY BOUND.
